Vortex Kinematics provides hardware prototyping, electromechanical feasibility studies, physics modeling, additive manufacturing, and field testing services for aerospace, energy, electric vehicle, and precision manufacturing clients ("Services"). Specific deliverables, timelines, and acceptance criteria are defined in individual statements of work or project agreements. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.
Each party agrees to hold in confidence any proprietary or confidential information disclosed by the other party in connection with the Services, including but not limited to technical data, designs, prototypes, test results, and business information. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or regulation.
Our Intellectual Property: The Vortex Kinematics website, methodologies, tools, and pre-existing intellectual property remain the sole property of Vortex Kinematics and are protected by copyright, trademark, and other intellectual property laws.
Work Product: Unless otherwise specified in a statement of work, all deliverables created specifically for the client under a project agreement shall be assigned to the client upon full payment. Vortex Kinematics retains the right to use general knowledge, skills, and experience gained during the engagement.
Fees for our Services will be outlined in a separate agreement or statement of work. Unless otherwise specified, all fees are quoted in U.S. dollars. You agree to provide accurate and complete billing information and to pay all charges incurred at the rates in effect when the charges were incurred. Payment terms, including any milestone-based schedules, will be specified in the applicable project agreement.
Vortex Kinematics warrants that all Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Prototypes and test results are provided for evaluation and feasibility purposes and are not warranted for production use unless explicitly stated in the project agreement.
EXCEPT AS EXPRESSLY SET FORTH ABOVE, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL VORTEX KINEMATICS, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Vortex Kinematics, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of your use of deliverables in a manner not contemplated by the project agreement or your violation of these Terms.
Either party may terminate an engagement upon 30 days' written notice. We may terminate or suspend access to our website immediately, without prior notice, if you breach these Terms. Upon termination of an engagement, you shall pay for all Services rendered through the effective date of termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of law. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Brevard County, Florida.
You acknowledge that certain Services and deliverables may be subject to U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer any deliverables in violation of applicable export control laws.
We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
